1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and NAHIM LLC, doing business as Timalens (“Company”, “we”, “us”, or “our”), governing your access to and use of the Timalens platform, web application, APIs, and video rendering services at video.timalens.com and associated domains (collectively, the “Service”).

By accessing, registering for, or using the Service, you signify that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity. If you do not agree to all terms and conditions herein, you must immediately cease all use of the Service.

2. Description of Service & AI Nature

Timalens is a cloud-based automated video production system engineered to turn text scripts, documents, and concepts into speech-synchronized whiteboard and explainer videos. The platform utilizes proprietary drawing trajectory algorithms, cloud rendering infrastructure, licensed neural speech synthesis, and third-party foundation artificial intelligence models to plan storyboards, generate visual assets, and synthesize audio narration.

AI Output Acknowledgement: You acknowledge that artificial intelligence technologies are inherently probabilistic and rapidly evolving. While Timalens implements rigorous quality and consistency controls, output generated by the Service is provided on an “as-is” basis. You maintain sole responsibility to review, verify, and validate all generated text, imagery, and audio for factual accuracy, appropriateness, and compliance with your industry regulations before public distribution or commercial use.

3. Account Registration & Access Security

To access video generation features, you must register an account using an authenticated email one-time code or authorized Single Sign-On (such as Google). You agree to provide accurate registration information and keep your credentials confidential. You are solely responsible for all activities and transactions that occur under your account. You agree to notify us immediately at support@timalens.com upon discovering any unauthorized use or security breach of your account.

5. Acceptable Use Policy & Content Standards

You agree that you will not use the Service to generate, render, upload, or distribute content that:

• Violates any applicable local, state, national, or international law or regulation.
• Infringes upon or misappropriates the copyright, trademark, patent, trade secret, or privacy rights of any third party.
• Is libelous, defamatory, fraudulent, threatening, abusive, or incites hatred or violence against individuals or protected groups.
• Depicts sexually explicit material, child exploitation, non-consensual imagery, or dangerous illegal activities.
• Unauthorized Impersonation & Voice Cloning: Employs voice cloning, synthetic likeness, or audio imitation to replicate the voice or persona of any living individual, celebrity, public official, or third party without their documented, verified written consent.
• Attempts to bypass billing mechanisms, artificially exhaust compute resources, probe system vulnerabilities, or deploy automated scrapers, bots, or DDoS traffic.

We reserve the right, without prior notice or liability, to investigate, suspend, or terminate accounts and remove content found to be in violation of this Acceptable Use Policy.

6. Transparent Credits, Subscriptions & Payments

• Credit Measurement: Video generation operates on a straightforward credit system where 1 Credit equals 1 Minute of rendered video.
• Subscription Plans: Paid subscription tiers (e.g., Starter, Creator, Studio, Agency) provide designated monthly video quotas, extended duration limits, and priority processing. Subscriptions are billed in advance on a recurring monthly or annual basis until cancelled.
• Pay-As-You-Go Credit Packs: Non-expiring credit top-ups may be purchased separately to supplement monthly allowances. Purchased top-up credits do not expire while your account remains active.
• Secure Payment Processing: Payments are processed securely through certified, PCI-DSS Level 1 compliant third-party payment gateways supporting major credit and debit cards. We do not store complete card numbers or CVV codes on our servers.
• Cancellations: You may cancel your subscription at any time directly through your Account Settings. Cancellation becomes effective at the end of the current pre-paid billing cycle, and you will retain access to your plan benefits until that period concludes.
• Refund Policy: Because compute, neural voice synthesis, and video rendering resources are immediately consumed upon rendering, credits utilized for completed video exports are non-refundable. If a video render fails due to a verifiable internal system error, the associated credits are automatically refunded to your account balance.

7. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NAHIM LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

UNDER NO CIRCUMSTANCES SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO TIMALENS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

9. Indemnification

You agree to defend, indemnify, and hold harmless NAHIM LLC, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your User Content, voice samples, or prompts; or (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights.

10. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the internal laws of the State of New Mexico, United States, without giving effect to any choice or conflict of law provision.

In the event of any controversy or dispute, the parties agree to first attempt in good faith to resolve the matter informally by contacting support@timalens.com. If the dispute cannot be settled informally within thirty (30) days, it shall be resolved through confidential, binding arbitration administered in accordance with standard commercial arbitration rules, or in a court of competent jurisdiction located in the State of New Mexico.

11. Modifications to Terms

We reserve the right to revise or update these Terms at our discretion. When changes are made, we will update the “Last updated” date at the top of this document. Material modifications will be communicated via notice on our website or email. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes.
